WASHINGTON, March 26 /PRNewswire-FirstCall/ -- Danaher Corporation (NYSE:DHR - News) and Cooper Industries (NYSE:CBE - News) announced today that they have signed an agreement to combine certain operations of their respective tools manufacturing businesses in a joint venture to create a premier global business with leading brands, greater scale, and a more diversified product portfolio.

Danaher and Cooper expect the combination to generate significant cost and revenue synergies primarily from increased purchasing leverage, geographical and channel footprint expansion, cross-branding initiatives and other consolidation opportunities. The 2009 sales of the two tools businesses on a combined, non-GAAP basis were approximately $1.2 billion. As a result of the transaction, the new company is expected to make a dividend payment of $90 million to Danaher. Cooper and Danaher will each have a 50% voting interest in the joint venture and an equal number of representatives on its Board of Directors. The partners will deconsolidate the financial results of their respective tools businesses and record the financial results based on the equity method of accounting.

Danaher's President and CEO, H. Lawrence Culp, Jr., said, "The creation of this new business combines the strengths of two great companies to create a comprehensive product offering across all major tool categories. The experience of the combined management team, and the highly complementary nature of the products, operations and geographic footprint make this a compelling combination that we believe will benefit our customers and employees."

The transaction is subject to customary closing conditions, including obtaining regulatory approvals, and is expected to close in the second quarter of 2010.

& yet I can't get a simple ******** ratchet warrantied... thanks to your company choosing Fastenal to handle it....

Just called again. Now I have to drive to the next ******** town over & have Napa handle it.

NOT impressed at all.

On balance, I don't see this being good; Cooper is famous for wrecking companies and moving production offshore.

Yes, twice, the first time I was told to go through my local Fastenal... their entire GW display/stock consists of ONE wrench. I've been waiting over 2 weeks for the replacement to show up.
Called again & was told to now try Napa.. in the next ******** town.

By the way, this isn't the first time a merger/partnership has been proposed/attempted between these two companies. In 2001 Cooper rejected an unsolicited offer from Danaher Corp., claiming that the proposal was undervalued. Danaher - who had made an earlier undisclosed offer in 1999 - claimed that had Cooper accepted that first offer, their shareholders would have realized significant earnings.

I agree with you 100%. I think that we will see more of the Armstrong, Matco, and Xcelite (part of Cooper Hand Tools) hand tool production moved to Taiwan and China as part of this merger. Stanley has started to manufacture a few Proto hand tools in Taiwan and China.

Danaher Tool Group own SATA Tools (http://www.satatools.com.sg/site/?m=100&f=100). I believe SATA manufacturers hand tools for Gearwrench and a few of the new Craftsman hand tool offerings such as the following:

Wow, say bye-bye Matco, cuz you're going down the crapper. It's heartbreaking really. I thoroughly enjoy Matco tools but now I'm watching them even harder.
There will be no Chinaman trash in my box!!

Cooper has killed off so many good companies I just don't see any positives here and Danaher has been strong on US production but I don't see not changing with this. We have Ideal moving product to the US and everybody else on the way out.

So long any remaining Danaher American jobs.......so sad. I'm not a Danaher/Matco/Craftsman fan but I hate to see this happen, it will all be junk when they go the Cooper way.

I would say that it won't change the day to day operations of Matco, but i would bet my house it will change the quality and country of origin of alot of Matco products.

It probably means if you buy a danaher brand (fill in the blank tool type) that Cooper makes (files, crescent wrenches, snips, etc) the tool will be from cooper with the danaher brand stamped on it from taiwan or the PRC.:wtf:

I don't know about that. My wife made salmon she got from Sams Club for supper the other night. I was reading the package and it said "Product of China" on the back of the package...


It's one thing to buy Chinese made tools, but to start swallowing stuff from China? I don't know about that man ... :shocking:

quite possibly your salmon was atlantic salmon was farmed on the pacific coast and packaged in china..........boggles the mind.........we grow potaoes here in manitoba, ship em to california and import from idaho their spuds............i truly believe that this nonsense shipping of goods is to stimulate a false economy and to maintain a roadway network for the military in case of need in the future.........
